Ethical and socially responsible business practices are a top priority for Quanos. Quanos’ Code of Conduct sets out the responsibilities and obligations that all Quanos employees and officers must observe in their internal and external dealings. It serves as a binding guide to conduct based on respect, integrity and cooperation.
Our corporate culture is shaped by our core behavioural values: equality, appreciation, empathy and tolerance. These values form the basis for respectful interaction, fair decision-making and open, constructive communication. They guide us in all our business activities and reflect our understanding of responsibility towards people, society and the environment.
They are complemented by our corporate core values #leading, #dedicated and #connected, which define our understanding of performance, our standards of leadership and our approach to collaboration both internally and externally.
This version of the Code of Conduct has been drafted in accordance with the topics identified as material to the Quanos Group through the double materiality analysis. These are organised into four pillars: Environment, Employer Basics, Employer Excellence and Digital.

The provisions of the Code of Conduct apply to all parent companies, senior executives and employees of the Quanos Group and its subsidiaries. They are enforced consistently and uniformly across all individuals. It helps us to live out our mission and values in every action and decision.
Compliance in this context means not only adherence to laws, but also alignment with international standards such as the UN Global Compact and the ILO Core Labour Standards. We are committed to conducting our business in such a way that ethical and social responsibility is upheld at all times. Where national laws are less stringent than this Code, the Code applies. Where laws are stricter, they take precedence.
This Code of Conduct is supplemented for specific topics by the Quanos Human Resource Policy, as well as by other relevant company guidelines and processes, which contain binding regulations and detailed specifications.
Quanos is an employer that promotes equal opportunities and upholds fair employment practices. Equality, inclusion and integrity are core values.
Quanos is committed to providing fair and safe working conditions for all employees. We ensure that our workplaces promote health and safety and create an environment in which all employees feel respected and valued. In doing so, we comply with the requirements of the German Occupational Safety and Health Act (ArbSchG) as well as all relevant legal regulations on occupational health and safety. This includes, amongst other things, risk assessment, the provision of appropriate protective measures and regular training for employees.
We guarantee fair wages that are always above the statutory minimum wage, as well as appropriate social benefits that support the well-being of our employees. Working hours are organised in accordance with legal requirements to enable a healthy work-life balance.
Quanos respects freedom of association and the right to collective representation, even though, as a company, we do not operate in a sector legally required to apply collective agreements. We promote open dialogue and constructive cooperation between employees and management. Furthermore, we ensure that no reprisals are taken against employee representatives or individuals who exercise their rights or participate in relevant activities.
Furthermore, we actively champion women’s rights, diversity and inclusion. We create a working environment that excludes discrimination and harassment in any form and ensures equal opportunities for all. Discrimination occurs when individuals are disadvantaged or excluded on the basis of personal characteristics or affiliations.
Quanos does not tolerate any form of discrimination, harassment – including sexual harassment – bullying or physical violence. This applies regardless of characteristics such as ethnic or national origin, skin colour, indigenous status, religion, marital status, gender, sexual orientation, age, physical or mental disability, veteran status or other legally protected characteristics.

Respectful workplace behaviour
All employees are expected to behave professionally and respectfully in all interactions. Any form of harassment, intimidation, bullying, or inappropriate conduct is not tolerated. This applies to verbal, physical, and digital behaviour. Employees are expected to contribute to a working environment in which all individuals are treated with dignity and respect at all times.
All Quanos employees and directors are required to treat colleagues, suppliers, business partners, customers and all other stakeholders fairly and respectfully at all times. All business matters and negotiations must be conducted in an ethically sound and legally permissible manner.
Quanos does not tolerate any manipulation, concealment of misconduct, misuse of confidential information or deliberate misrepresentation of material facts. We also prohibit bribery, fraud, extortion and corruption in all forms.
Quanos is fully committed to fair, transparent and competition-compliant market practices. We respect applicable antitrust and competition law and do not enter into any agreements with competitors that could unduly influence prices, terms, market sharing or other competition-relevant factors. Our employees must not exchange information or enter into agreements that could impair free competition.
Conflicts of interest
Employees and directors must avoid situations in which personal interests conflict, or may appear to conflict, with the interests of Quanos. A conflict of interest may arise, for example, through personal relationships, external business activities, or financial interests. All actual or potential conflicts must be disclosed promptly. If a conflict arises, the individual concerned is required to withdraw from any related decisions or activities.

Quanos recognises that appropriate gifts and benefits between Quanos (including its employees) and customers, suppliers and business partners can help to strengthen relationships, acknowledge special achievements and respect cultural customs in the markets in which we operate.
However, inappropriate or excessive gifts and benefits are not permitted, as they may contravene applicable laws and regulations – particularly if they could be interpreted as an inducement for preferential treatment.
It is expressly prohibited to offer or accept inappropriate or disproportionate benefits

Employees who are politically active must ensure that this does not give the impression that they are acting on behalf of Quanos. Any reference to Quanos in connection with private, political, religious or social activities is prohibited.
Employees who intend to stand for public office or hold such office are obliged to inform Quanos of this in advance. The potential implications for the employment relationship and for their work with Quanos will be examined jointly and assessed by mutual agreement.
Employees who decide to participate in political activities must not carry out such activities during working hours and must not use company resources or funds for this purpose, unless they have received express written authorisation from Quanos, represented by the management.
Quanos does not make political donations. Similarly, employees are prohibited from making financial contributions, gifts in kind or other contributions to political parties or organisations associated with them on behalf of Quanos.
Employees must not represent Quanos publicly or speak on its behalf unless authorised to do so. When participating in public discussions, including on social media, employees must ensure that their statements do not create the impression that they are acting on behalf of Quanos.
At the same time, employees may engage in professional and industry-related discussions in their personal capacity. In doing so, they are expected to act responsibly, clearly distinguish personal opinions from company positions, and protect the reputation and interests of Quanos. Confidential information must not be disclosed under any circumstances.
Quanos strictly rejects any form of child labour and undertakes to comply with the ILO core labour standards and all applicable national laws. In Germany, this means that no one may be employed who is below the statutory minimum age of 15 for regular employment. For light work, however, the statutory exceptions under the Youth Employment Protection Act apply exclusively subject to strict compliance with the protective provisions.
Quanos prohibits all forms of forced, bonded, or involuntary labour. This includes any use of coercion, threats, deception, or the retention of personal identification documents. All work must be performed on a voluntary basis, and individuals must be free to terminate their employment in accordance with applicable laws and contractual terms.
We take our responsibility seriously and are continuously implementing processes as part of our ESG strategy to better understand the environmental and climate impacts and risks that we cause or can influence. Our aim is to reduce these impacts and take appropriate measures.
Further details and specific measures are set out in our Environmental Policy. We promote a strong sense of responsibility for protecting the environment across all areas of the business. Furthermore, we expect respect for fundamental rights relating to land, forest and water resources, as well as the avoidance of practices that could lead to forced evictions. Although these issues are of limited relevance to our business activities, they form part of our commitment to international standards and customer requirements.
Quanos attaches the utmost importance to IT security and data protection in order to minimise security risks and thereby protect our organisation, customers and business partners. Compliance with all relevant legal regulations, as well as internal guidelines and compliance documents, is mandatory.
Regular training ensures that all employees are aware of the requirements and implement them. The underlying policies, processes and measures are regularly reviewed for their relevance and effectiveness on a risk-based and ad hoc basis to ensure a consistently high level of security. These policies, processes and measures form part of our Information Security Management System (ISMS) and are implemented and further developed in accordance with the requirements of ISO/IEC 27001.
Quanos ensures a responsible and ethical supply chain. This means that no form of modern slavery, forced labour or child labour is tolerated and would result in the immediate termination of the supplier relationship. Furthermore, it is prohibited to retain personal identification documents of employees or contractors or to restrict their freedom of movement.
The requirements for a sustainable and responsible supply chain are set out in detail in Quanos’ Supplier Code of Conduct and are binding on our business partners.

This Code of Conduct sets out requirements that we also impose on our business partners and suppliers – particularly in the areas of human rights, labour standards, health and environmental protection. We expect them to fulfil their social responsibilities in all business activities, to continuously improve these, and to comply with applicable laws and binding regulations.
All employees are obliged to be familiar with and comply with this Code of Conduct. Managers and the executive board bear a special responsibility for its implementation and for setting an example.
Employees are expected to report any suspected breaches of laws, regulations, or binding internal policies, including this Code of Conduct. Established processes and an internal reporting channel in accordance with the Whistleblower Protection Act are available for this purpose. Quanos maintains a zero-tolerance approach to retaliation against individuals who raise concerns in good faith. Any attempt to disadvantage, intimidate, or penalise a person for reporting a concern or participating in an investigation will be treated as a serious violation of this Code of Conduct. Reports are handled confidentially and, where appropriate, anonymously, in accordance with applicable laws and established internal procedures.
Breaches of the Code will be sanctioned consistently and appropriately in accordance with our disciplinary processes. They may result in criminal investigations, civil proceedings or regulatory action. Quanos cooperates with relevant authorities in accordance with applicable laws.
The Management Board is authorised to amend and supplement the Code of Conduct as necessary. Its relevance, appropriateness and effectiveness are reviewed regularly and as required.

Ethics and social responsibility are deeply rooted in Quanos’ DNA, and it was not only the creation of this Code of Conduct that made us aware of this. As part of the “Connect the People” project, the ATMOS team conducted a survey aimed at the entire workforce. It clearly showed that Quanauts want to work together on equal terms, with empathy and tolerance prevailing, with the aim of creating a working atmosphere in which everyone in the company can feel comfortable.
The result makes it clear what respect means in concrete terms at Quanos and the pieces of the respect puzzle that were identified were also filled with meaning through this joint project. These results, together with the Code of Conduct, serve as a guideline for cooperation at Quanos.
We can view other people as being above or below us when it comes to their value, knowledge, expertise, and many other attributes. This automatically leads to us perceiving ourselves as either superior or inferior – and with this to an upgrading or downgrading of our own self-worth. This may in turn be expressed in how we interact with one another.
Empathy is trying to put yourself in another person‘s shoes.
Essential here is respectful, clear and constructive communication.
Tolerance is the patient, accepting and fair treatment of people with different physical characteristics, behaviors, affiliations, beliefs, and customs to your own.
Appreciation is a perceptible positive evaluation of another person.
Treat other people with respect, kindness and recognition
Important qualities in this regard: Attentiveness, interest, consideration, and friendliness.
Appreciate the person in every regard.
